These Terms of Service ("Terms") govern your use of zymofar.com (the "Website") and the software products and services provided by Zymofar Technologies Pvt. Ltd. ("Zymofar", "we", "us"), including WiderERP, RetailMass, RestroPro, SaaS subscriptions, downloadable installers and custom development services (together, the "Services"). By using the Website or Services you agree to these Terms. Enterprise customers with a signed agreement are governed by that agreement where it conflicts with these Terms.
1. Use of the Website
You may browse the Website and submit enquiries for lawful business purposes. You must not attempt to gain unauthorised access to any part of the Website, scrape it in bulk, submit false information, or interfere with its operation.
2. Accounts and subscriptions
- SaaS plans are billed in advance for the period selected. Prices are shown exclusive of GST unless stated otherwise.
- Subscriptions renew automatically unless cancelled before the renewal date. Fees already paid are non-refundable except where required by law or agreed in writing.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- We may suspend an account for non-payment or misuse after giving reasonable notice.
3. Software licence
Zymofar grants you a non-exclusive, non-transferable licence to use the Services for your internal business operations during the subscription or licence term. You may not copy, modify, reverse-engineer, resell or sublicense the software except as permitted by law. All intellectual property in the Services remains with Zymofar.
4. Your data
Business data you enter into the Services belongs to you. You grant us the right to process it solely to provide the Services. You can export your data at any time during the term and for 90 days after it ends. Our handling of personal information is described in the Privacy Policy.
5. Support and availability
Support is provided on business days during Indian business hours through the channels listed on the Contact page, unless a different service level is agreed in writing. We aim for high availability of cloud services but do not guarantee uninterrupted operation; planned maintenance will be notified in advance where practical.
6. Custom development
Custom software, website and app development are governed by the scope, milestones and payment schedule in the relevant proposal. Changes to scope may affect cost and timeline and will be agreed in writing before work proceeds.
7. Warranties and liability
The Services are provided with reasonable skill and care. Except as expressly stated, they are provided "as is" without warranties of any kind. To the maximum extent permitted by law, Zymofar's total liability arising from the Services in any 12-month period is limited to the fees you paid for the Services in that period, and we are not liable for indirect, incidental or consequential loss, including loss of profit or data. You are responsible for maintaining backups of data held outside our cloud services and for compliance with tax and statutory filing obligations based on reports generated by the software.
8. Termination
Either party may terminate a subscription at the end of the current billing period. We may terminate immediately for material breach that is not remedied within 15 days of notice. On termination your right to use the Services ends, subject to the data export period in section 4.
9. Governing law
These Terms are governed by the laws of India. Courts in Bengaluru, Karnataka have exclusive jurisdiction over any dispute, subject to any arbitration clause in a signed customer agreement.
10. Changes to these Terms
We may update these Terms; the "Last updated" date shows the current version. Continued use of the Services after a change constitutes acceptance of the updated Terms.
